BOMESC Offshore Engineer Company Limited (the "Company") held the 2018 Annual General Meeting in the meeting room 408 of its headquarters located in the Tianjin Economic-Technological Development Area at 14:30 on May 31, 2019. The meeting was chaired by Mr. Wu Zhanghua, the Company's director and vice president. The Company's shareholders as well as their agents, directors, supervisors, senior officers, witness lawyers, and colleagues from the Securities Department attended the meeting.

At the meeting, 13 proposals were deliberated by means of a combination of on-site and online voting, including the 2018 Annual Report of BOMESC Offshore Engineer Company Limited and Its Summaries, the 2018 Annual Work Report of the Board of Directors of BOMESC Offshore Engineer Company Limited, the 2018 Annual Work Report of the Board of Supervisors of BOMESC Offshore Engineer Company Limited, the 2018 Annual Final Account Report of BOMESC Offshore Engineer Company Limited, and the 2018 Annual Profit Distribution Plan of BOMESC Offshore Engineer Company Limited.

Also, in accordance with the relevant requirements of the Rules of the General Meetings of Listed Companies and other documents, Mr. Hou Haojie, an independent director who was present at the meeting, gave the 2018 annual work report on behalf of three independent directors of the Company.

Two lawyers of Zhong Lun Law Firm stated that the procedures for convening the annual general meeting by the Company are in compliance with the Company Law of the People's Republic of China, the Securities Law of the People's Republic of China, the Articles of Association of BOMESC Offshore Engineer Company Limited and other relevant provisions, with valid identity of shareholders who attended the meeting as well as legal and valid voting for all proposals. At the end of the meeting, Mr. Wu Zhanghua announced the successful conclusion of the meeting.
